An operating agreement or set of bylaws does more than satisfy a filing requirement; it allocates control, profit and exit rights among owners before a disagreement makes those questions urgent. Founders who defer this document until a dispute arises are negotiating from a weaker position.

Choosing and confirming the entity structure

  • Decide on member-managed versus manager-managed governance for an LLC
  • Determine the number and roles of initial owners, officers, or directors

Name and registered agent

  • Reserve or secure a matching domain name and business email, if desired

State filing

  • Prepare and file Articles of Organization or Articles of Incorporation with the Florida Division of Corporations

Federal and tax setup

  • Secure business insurance appropriate to the industry and location
  • Execute a lease or property agreement in the entity's name, not the founder's individually
